Investor Relations Policy

Mapletree Logistics Trust Management Ltd., the manager (“Manager”) of Mapletree Logistics Trust (“MLT’) is committed to engaging and developing long-term relationships with Unitholders and the investment community through equitable, timely and transparent communication.

The Investor Relations (“IR”) Policy describes the principles and practices for the Manager to facilitate this communication.

General Policy

  1. At all times, the Manager is committed to making timely, full and accurate disclosure of material information in accordance with the Listing Manual of the Singapore Exchange Securities Trading Limited (“SGX-ST”) and the Singapore Code of Corporate Governance 2018.

  2. All disclosures are submitted promptly to SGX-ST through SGXNet and are also made available on MLT's corporate website.

  3. The IR Policy is reviewed by the Manager on a periodic basis to ensure its relevance and effectiveness. Updates may be made, where appropriate, to reflect the latest best practices.

Communication Guidelines

  1. The Manager endeavours to provide pertinent and accurate information to Unitholders and the investment community in an effective and timely manner.

  2. All disclosures, on both positive and negative issues, will be factual, clear and balanced.

  3. The Manager communicates only through designated senior spokespersons, who will regularly engage Unitholders and the investment community to seek and understand their views, as well as to respond to enquiries. All Unitholder and investor queries should be directed to the Manager’s IR team.

  4. The Manager will give reasonable access to analysts and the media to help them formulate informed opinions of MLT, but will not seek to influence those opinions.

  5. The Manager does not respond to rumours or market speculation. However, clarifications will be made promptly through announcements via SGXNet in the event that information or rumours indicate material information has been leaked or they are in fact false or inaccurate.

  6. The Manager observes a ‘blackout period’ two weeks before the release of MLT’s quarterly results and one month before the release of its full-year results as per the listing rules of the SGX-ST. During this period, the Manager will avoid commenting on industry outlook, MLT’s operational performance and financial results, unless such information has already been publicly disclosed.

Communication Channels

  1. The Manager actively engages Unitholders and the investment community through a variety of channels, including:
  • Annual General Meetings ("AGMs") and, as and when necessary, Extraordinary General Meetings ("EGMs");
  • Announcements and press releases announced via SGXNet and posted on MLT’s corporate website;
  • Quarterly results presentation slides and financial results announced via SGXNet and posted on MLT’s corporate website;
  • Analyst briefings, with 'live' webcasts available for viewing on MLT’s corporate website;
  • One-on-one/group meetings or conference calls, investor luncheons, local/overseas roadshows and conferences;
  • Property tours;
  • Annual and Sustainability Reports; and
  • MLT’s corporate website (www.mapletreelogisticstrust.com)

a. Investment Community Communication

  1. The Manager engages the investment community at appropriate times through one-on-one meetings, non-deal roadshows, conferences, analyst briefings and property tours.

  2. Following the release of MLT’s financial results every quarter, the Manager will hold a post-results analyst briefing. Additionally, MLT’s half-year and full-year results briefings are webcast ‘live’. Recordings of the audio webcasts are accessible via MLT’s corporate website for a period of six months after the briefing.

b. MLT’s Corporate Website (www.mapletreelogisticstrust.com)

  1. All media releases, financial results, annual reports, sustainability reports, SGXNet announcements and other corporate information relating to MLT are posted on its corporate website and readily available to the general public.

  2. Investors and the general public may send questions to the Manager through a dedicated email address as well as sign up for email alerts on MLT’s announcements.

c. Unitholders’ Meetings

  1. An AGM is held once a year in July to provide a platform for Unitholders to interact with the Board and Management. The external auditors are also present to address Unitholders’ queries about the audit and the financial statements of the Group. At the AGM, the Manager will present the operating and financial performance as well as strategic directions of MLT.

  2. Unitholders will be sent a copy of the Notice of AGM/EGM, which lists all items of business to be transacted at the general meeting, within the required notice period prior to the AGM/EGM. The Notices of AGM/EGM will be announced via SGXNet and published in the local newspaper, as well as posted on MLT’s corporate website.

  3. MLT’s Annual Reports/Circulars may be downloaded from its corporate website. Printed copies of MLT’s Annual Report/Circulars are also available upon request.

  4. Unitholders who are unable to attend and vote at the AGM/EGM can appoint proxies to attend, speak and vote on their behalf. The proxy forms are to be submitted 72 hours before the meetings.

  5. Electronic voting is used at MLT's physical AGM and EGM for all resolutions. An independent scrutineer is appointed to validate the vote tabulation and procedures. The Manager will announce the results of the votes cast for and against each resolution and the respective percentages via SGXNet after the conclusion of each meeting. Minutes of the AGM are posted on MLT’s corporate website.

  1. The Manager recognises the importance of Unitholders’ privacy and will not disclose Unitholders’ information without their consent, unless required by or permitted under the law. The Manager’s Privacy Policy, which describes how personal data is collected, used, disclosed and processed by the Manager, is available on MLT’s corporate website.
